Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the STRATUM platform, operated by Inevara Pty Ltd (“Inevara”, “we”, “us”, or “our”). By accessing or using STRATUM, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Service Description

STRATUM is a commercial property intelligence and professional matching platform that connects Australian businesses with verified commercial property professionals, and provides AI-powered market intelligence, zoning data, development feasibility analysis, and builder risk ratings across all major commercial property classes.

STRATUM acts as a marketplace intermediary and intelligence provider. We facilitate connections between businesses and commercial property professionals but are not a party to any engagement, contract, or service agreement between them. The professionals listed on STRATUM are independent service providers, not employees or agents of Inevara.

2. Account Responsibilities

When you create a STRATUM account, you agree to:

  • Provide accurate, current, and complete information during registration and keep it updated.
  • Maintain the confidentiality of your account credentials and not share them with others.
  • Be responsible for all activity that occurs under your account.
  • Notify us immediately at [email protected] if you suspect unauthorised access to your account.
  • Be at least 18 years of age and have the authority to bind any organisation on whose behalf you are registering.

3. Acceptable Use

You may use STRATUM only for lawful purposes and in accordance with these Terms. You must not:

  • Use the platform for any fraudulent, deceptive, or unlawful purpose.
  • Post false or misleading information, including false professional credentials or company details.
  • Harass, abuse, or harm other users or professionals on the platform.
  • Attempt to gain unauthorised access to our systems, other accounts, or any part of the platform.
  • Use automated tools (bots, scrapers, crawlers) to access or extract intelligence data, professional listings, or any other platform content without our express written consent.
  • Redistribute, resell, or commercialise market intelligence reports or data obtained from the platform without our prior written authorisation.
  • Use the platform to solicit clients or engage in commercial activities outside of the intended matching and engagement workflow.

We reserve the right to suspend or terminate accounts that violate these acceptable use requirements, without prior notice where circumstances warrant.

4. Intellectual Property

All content, features, functionality, algorithms, intelligence models, matching technology, and intellectual property on the STRATUM platform — including but not limited to software, market data, zoning analysis models, builder risk methodologies, feasibility tools, text, graphics, and logos — are owned by or licensed to Inevara Pty Ltd and are protected by Australian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the platform for its intended purpose. This licence does not include the right to:

  • Copy, reproduce, or extract the platform's intelligence algorithms, scoring methodologies, or data models.
  • Use Inevara's or STRATUM's name, logos, or branding without express written permission.
  • Sublicense or on-sell access to the platform or its market intelligence outputs to third parties.

5. Disclaimers

Informational only

STRATUM is an intelligence and matching service only. Nothing on the platform constitutes financial advice, legal advice, taxation advice, or a formal property valuation. You should always obtain independent professional advice before making commercial property decisions.

Zoning predictions

Zoning intelligence, rezoning probability assessments, and development potential indicators provided on the platform are probabilistic estimates derived from publicly available planning data and historical trends. They are not guarantees of future planning outcomes, development approvals, or zoning changes. Planning decisions are made by government authorities and are subject to change. Always consult the relevant planning authority and engage a qualified town planner before relying on zoning data.

Builder risk ratings

Builder risk ratings and contractor assessments on the platform are for informational and comparative purposes only. They are derived from publicly available data including court records, insolvency notices, and industry databases, and do not constitute a professional due diligence report, legal opinion, or audit. Inevara accepts no liability for any loss arising from reliance on builder risk ratings. Always conduct your own due diligence and engage qualified legal and financial advisers before entering construction contracts.

Feasibility calculations

Development feasibility calculators and construction cost indices available on the platform produce estimates based on market averages, published rates, and simplified assumptions. They are not substitute for a formal quantity surveyor's report, development appraisal, or project-specific cost plan. You must engage a registered quantity surveyor before relying on any feasibility estimate for investment, financing, or development decisions.

Market intelligence data

Commercial property market data, rental benchmarks, vacancy rates, and comparable transaction data are sourced from publicly available datasets and third-party providers and are provided on a best-efforts basis. While we take care to ensure accuracy, we do not warrant the completeness, timeliness, or fitness for purpose of any market data.

Professional credentials

We take reasonable steps to verify the credentials of professionals listed on STRATUM. However, we do not guarantee the accuracy or currency of any credential, licence, or accreditation information. You are responsible for independently confirming that a professional holds the required licences for the services you engage them to provide.

6. Limitation of Liability

To the maximum extent permitted by Australian consumer law, Inevara is not liable for:

  • Any loss or damage arising from reliance on market intelligence, zoning assessments, feasibility calculations, builder risk ratings, or information provided by matched professionals.
  • Any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.
  • Loss of profits, data, goodwill, or other intangible losses resulting from your use of or inability to use the platform.
  • The conduct, performance, or solvency of any commercial property professional introduced through STRATUM.
  • Inaccuracies in zoning, planning, or market data sourced from government or third-party datasets.

Nothing in these Terms excludes any guarantee, condition, or warranty implied by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded. Our liability for breach of any such guarantee is limited to the remedies prescribed by the Australian Consumer Law.

7. Termination

You may close your account at any time from your account settings or by contacting us at [email protected].

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

8. Governing Law

These Terms are governed by the laws of Queensland, Australia. You submit to the non-exclusive jurisdiction of the courts of Queensland for any dispute arising from or in connection with these Terms or your use of the platform.

9. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. For material changes, we will notify you by email or by a prominent notice on the platform at least 14 days before the changes take effect. Continued use of STRATUM after the effective date constitutes your acceptance of the revised Terms.
